This SuperShield Affiliate Agreement ("Agreement") is made between SuperShield ("Company"), and the affiliate ("Affiliate") who agrees to the terms of this Agreement by accepting these online.

Definitions

1.1 "Affiliate" refers to the individual or entity that markets SuperShield's services and generates referrals.

1.2 "Referral" refers to a new customer that signs up for SuperShield's services through the Affiliate's unique referral link.

1.3 "Commission" refers to the payment made to the Affiliate for successful Referrals resulting in subscriptions.

1.4 "VAT" refers to Value Added Tax.

Commission Structure

2.1 The Company shall pay the Affiliate a commission of 30% of the monthly fee paid by each Referral.

2.2 The commission includes VAT where applicable.

2.3 The commission is ongoing for the life of the customer's subscription, provided the customer continues to pay for the service.

Payment Terms

3.1 Commissions are calculated based on the payments received from Referrals, minus any refunds or chargebacks.

3.2 Payments are made monthly, in arrears, after the Company receives payment from the customer.

3.3 The Affiliate must provide a valid Tax Invoice to receive payment.

3.4 If the Affiliate is not registered for VAT, the VAT portion will be deducted from the commission.

Taxation

4.1 The Affiliate is responsible for any taxes associated with the commission payments.

4.2 The Affiliate must comply with all applicable tax laws and regulations.

Termination

5.1 This Agreement may be terminated by either party at any time with written notice.

5.2 Upon termination, the Affiliate will no longer earn commissions for new Referrals (if any) but will continue to receive commissions for existing Referrals as long as the customer remains subscribed.

Intellectual Property

6.1 The Affiliate may use the Company's trademarks, logos, and marketing materials solely for the purpose of promoting SuperShield's services.

6.2 The Affiliate agrees not to modify or alter the Company's trademarks or marketing materials in any way.

Confidentiality

7.1 The Affiliate agrees to keep all non-public information about the Company, its services, and its customers confidential.

Miscellaneous

8.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings.

8.2 This Agreement shall be governed by the laws of South Africa.

8.3 Any disputes arising out of or in connection with this Agreement shall be resolved through amicable negotiation. If negotiation fails, the disputes shall be resolved through arbitration in South Africa.

8.4 The Company reserves the right to modify the terms of this Agreement at any time. Affiliates will be notified of any changes via email.
