Terms and Conditions for Company Subscription to Super Shield Training Course and
simulated testing program
- Parties This Agreement ("Agreement") is entered into by
and between:
- The Company, as detailed on the registration page
- FREEPAID (PTY) LTD hereinafter referred to as the "Service Provider,"
with its registered office at 104 Building 5, Tygervalley Chambers, 27
Willie Van Schoor Drive, Bellville
- Collectively, the Company and the Service Provider shall be referred to
as the "Parties."
- Purpose: The purpose of this Agreement is to set forth the
terms and conditions under which the Company will subscribe to the Service
Provider's online training course (the "Course") and the ongoing future
simulated phishing attempts, retesting services and reporting systems which
will reflect the performance, behaviour and risk profile of staff members of
the Company.
- Data Collection and Usage: The Company shall provide the
following details of all staff members via a CSV file: name and surname,
email address, mobile number, the name of their bank and whether or not they
are in a management position at the Company. The Service Provider shall use
this information solely for the purpose of facilitating the Course and the
simulated phishing attempts and shall not share or disclose this data to any
third party. The Service Provider undertakes to be compliant with the
Protection of Personal Information Act (POPIA) and to take all necessary
measures to safeguard the data provided by the Company.
- Subscription Fee: The Company shall pay the Service
Provider a monthly subscription fee of R49.00 (incl VAT) per staff member
for ongoing access to the services. Invoices are generated on the last day
of the month in advance for the next month and are payable upon presentation
or within 7 days of receipt.
- Course Access and Delivery: The Service Provider shall
provide the staff members of the Company with access to the Course,
including but not limited to the online training modules, assessments,
reports, benchmarks, and continuous retesting of staff members (where
applicable) to ensure best levels of compliance as the ‘Human Shield’.
- Testing and Results: The Service Provider shall provide
the course material then administer the initial online test and thereafter
will perform additional simulated phishing attempts to staff members as part
of the vigilance program. The results of these tests will be made available
to the Company via a password protected dashboard for monitoring and
tracking purposes. The Company performance and individual performance will
be benchmarked against the National average.
- Continuous Retesting: The Service Provider shall conduct
(and is hereby authorised) ongoing retesting of all staff members through
simulated phishing attempts and other relevant assessments to ensure the
highest levels of vigilance against real life phishing attempts.
- Data Security and Confidentiality: Both Parties shall take
all reasonable measures to maintain the security and confidentiality of any
data shared during the Course. The Service Provider shall not disclose any
confidential information or data provided by the Company to third parties
unless compelled to do so by Law.
- Termination: Either Party may terminate this Agreement
with written instruction to the other Party by giving of one calendar months’
notice. In the event of termination, the Company shall not be entitled to a
refund of any subscription fees already paid and any fees payable at the
time of termination remain due. Termination of single users may be done via
the company dashboard at any time.
- Governing Law: This Agreement shall be governed by and
construed in accordance with the laws of South Africa without regard to its
conflict of law principles.
- Entire Agreement: This Agreement constitutes the entire
agreement between the Parties and supersedes all prior or contemporaneous
understandings, agreements, representations, and warranties.
- Amendments: This Agreement may be amended online at any
time.
- Severability If any provision of this Agreement is held to
be invalid or unenforceable for any reason, the remaining provisions shall
continue to be valid and enforceable. If a court finds that any provision of
this Agreement is invalid or unenforceable but that by limiting such
provision it would become valid and enforceable, then such provision shall
be deemed to be written, construed, and enforced as so limited.
By subscribing to the Course, the Company acknowledges that it has read,
understood, and agrees to be bound by the terms and conditions set forth in this
Agreement.
Where the signatory of this agreement also participates as a staff member, these
terms
and conditions also apply.
